Cherie Stubbs, RySG Operations

Thanks, Kristine!

Sam Demetriou
29:29
I think it makes sense to move to OPs
Paul Diaz

Ashley Roberts
29:39
+1 to move to OP
martinsutton
30:11
Sorry for my late arrival
Cherie Stubbs, RySG Operations
31:26
Hi Martin … we're reviewing Bylaws/Charter … speak up if you have comments! We'
martinsutton
31:42
Thanks Cherie, will do :-)
Cherie Stubbs, RySG Operations
32:09
oops … we're not standing on formality! :-)
Susan Payne
34:59
Yes!
Erica Varlese
36:11
Haha, will do :)
Cherie Stubbs, RySG Operations
41:21
I am in the process of reviewing original Bylaws/Charter for continuity ...
martinsutton
42:18
telegraph! I still use that :-)
Cherie Stubbs, RySG Operations
42:41
How about two tin cans and some string? :-)
martinsutton
44:53
Cherie - I tried to call you on the tin can but no answer!
Karen Day
45:38
Sue is correct that this particular Florida bank is "weird" in that it will only rely on what is in the FL SUN system
Karen Day
45:47
That's correct
Karen Day
45:52
It can't be delegated
Karen Day
46:02
THis is a banking issue
Karen Day
46:14
for the bank that we use. not all banks
Susan Payne
46:33
in which case how about we have all officers except the Secretary as needing to be a voting delegate
Susan Payne
46:44
and we expressly state it'snon voting
Kristine Dorrain (Amazon Registry)
46:54
can we change banks? Maybe the easiest?
martinsutton
47:31
Banks in the US are fairly restrictive - an officer has to be a signatory but sometimes there are ways to designate users on the account. But as Karen says, some US banks are extremely difficult (based on my experience)
Sue Schuler
49:02
we switched to this bank because of international wire transfers
Cherie Stubbs, RySG Operations
50:07
@ Kristine. We researched and interviewed large banking (national and international) and, again, it is Florida Incorporation requirement. We now bank with Bank of America so change would not make a difference!
Kristine Dorrain (Amazon Registry)
50:22
Hahah, good.
martinsutton
50:26
Bananas are always the best defence
Cherie Stubbs, RySG Operations
52:39
I don't think the Secretary needs to be an elected position … but an appointed position by the Board.
martinsutton
53:11
could be difficult to have a secretary that is not based in US
martinsutton
53:23
or even the same State
Susan Payne
53:44
agree Martin
Kristine Dorrain (Amazon Registry)
53:55
Treasurer + Secretary seems like a good idea.
Sue Schuler
54:05
typically the Treasurer and the Secretariat are the signatory on the bank account
Sue Schuler
54:24
Jonathan declined, and Donna is the other signatory right now
martinsutton
54:33
Sue - do you mean Treasurer and Secretary (rather than Secretariat)?
Sue Schuler
54:40
sure
Cherie Stubbs, RySG Operations
54:40
That is correct ...
Kristine Dorrain (Amazon Registry)
54:43
I think it's useful to think about it as 1. what do we legally have to do? 2. what makes sense to do from a practical standpoint? 3. what gets us to our desired outcome of having Sue be on the bank account.
Susan Payne
55:20
yes Sam, I think that sounds like it works
martinsutton
55:32
Sam worded that perfectly, let the transcript remain :-)
Sam Demetriou
55:46
This working from home has me forgetting myself!!
martinsutton
55:51
lol
Susan Payne
56:08
and then if the Secretary is viewed as an Officer, we should express that this is a non-voting Officer
Cherie Stubbs, RySG Operations
57:45
Sounds like a plan!
Karen Day
57:47
one correction, Beth, it's the Board that can appoint the Secretary, not the elected Officers
martinsutton
57:50
Yes please
Karen Day
58:36
Elected Officer or appointed officer
Karen Day
01:02:45
Kristine is correct in the intent
Sue Schuler
01:02:58
or if the RySG doesn't get enough people to run for office
Sam Demetriou
01:03:44
I think that’s covered elsewhere
Sue Schuler
01:03:58
until such time as someone to fill the position is found?
Beth Bacon
01:04:01
It is
martinsutton
01:04:55
Is there a safety net - whereby members can vote out an officer? This may help
martinsutton
01:05:25
at any time, rather than term ends
Karen Day
01:05:29
I am :) since we have elections every year...
Karen Day
01:06:09
Yes, @Martin, special elections can be called to recall/replace officers
martinsutton
01:06:32
so they may offer sufficient comfort to Ashley’s concerns
martinsutton
01:06:37
thx Karen
martinsutton
01:07:36
It’s helpful to avoid tying us in knots with too many restrictions, but as long as we have corrective measures available
Kristine Dorrain (Amazon Registry)
01:07:52
We are hopefully fleshing out the vacancy bit that will address that.
Kristine Dorrain (Amazon Registry)
01:08:21
I think this section allows someone to hold to roles, which is what we want. We do need to make sure we're good with the vacancy roles.
Kristine Dorrain (Amazon Registry)
01:08:34
rules
Ashley Roberts
01:10:34
yep
Paul Diaz
01:10:46
+1 re vacancy edits
Cherie Stubbs, RySG Operations
01:14:01
Ah, now I understand! Thanks!
Ashley Roberts
01:15:00
sounds good
martinsutton
01:15:09
yes :-)
Cherie Stubbs, RySG Operations
01:15:35
… and Karen … and Paul … and back to Evo WG 1!
Paul Diaz
01:19:38
Thank you, Beth!
Sue Schuler
01:19:46
bananas!
Kristine Dorrain (Amazon Registry)
01:21:07
Thanks all!
